1. SOFTWARE LICENSE AGREEMENT

Effective Date: February 8, 2026

This Software License Agreement ("Agreement") is entered into between Rawdiger Ventures LLC ("Licensor," "we," "us," or "our") and you ("Licensee," "you," or "your"), governing your use of the Rawdiger™ platform and any associated services, products, or domains purchased through our website.

1.1 Grant of License

Subject to your compliance with this Agreement, Rawdiger Ventures LLC grants you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the Rawdiger™ website and platform for lawful purposes
• Purchase premium .co.ke domains and digital products listed on our marketplace
• Use the M-PESA payment integration for secure transactions
• Receive domain transfer or nameserver configuration services as purchased

1.2 Ownership and Intellectual Property

All rights, title, and interest in and to the Rawdiger™ platform, including but not limited to:

• Website design, code, and architecture
• Rawdiger™ brand name, logo, and trademarks
• All content, graphics, and user interfaces
• Proprietary algorithms and business processes

remain the exclusive property of Rawdiger Ventures LLC. This license does not grant you any ownership rights.

1.3 Restrictions

You agree NOT to:

1. Copy, modify, distribute, or create derivative works of our platform
2. Reverse engineer, decompile, or disassemble any part of our software
3. Remove or alter any copyright, trademark, or proprietary notices
4. Use our platform for any illegal, fraudulent, or unauthorized purpose
5. Interfere with or disrupt the security or functionality of our services
6. Attempt to gain unauthorized access to our systems or user accounts
7. Use automated tools (bots, scrapers) without written permission
8. Resell or redistribute domains purchased from us without proper transfer

1.4 License Termination

This license is effective until terminated. We may terminate or suspend your access immediately, without prior notice, for:

• Violation of any terms in this Agreement
• Fraudulent activity or chargebacks
• Abusive behavior toward our staff or other users
• Any conduct that harms or could harm Rawdiger™ or its users

2. TERMS OF SERVICE

2.1 Acceptance of Terms

By accessing Rawdiger.co.ke, you agree to these Terms of Service and all applicable laws and regulations. These terms apply to all users, including browsers, customers, and contributors.

2.2 Description of Services

Rawdiger™ operates as a premium domain marketplace specializing in .co.ke domains. Our services include:

• Domain Sales: Premium, aged, and industry-specific .co.ke domains
• Digital Products: Software, templates, and digital assets
• Payment Processing: Secure M-PESA integration for Kenyan customers
• Domain Services: Domain transfer assistance and nameserver configuration

2.3 Account Registration

While browsing our marketplace does not require an account, certain transactions may require you to provide:

• Valid phone number for M-PESA transactions
• Email address for communication and delivery
• Domain registrar information (for transfers)
• Nameserver details (if applicable)

You are responsible for maintaining the confidentiality of any account information and for all activities that occur under your account.

2.4 User Conduct

You agree to use Rawdiger™ in a manner consistent with all applicable laws and regulations. Prohibited activities include:

• Providing false, inaccurate, or misleading information
• Impersonating any person or entity
• Engaging in fraudulent transactions or payment disputes without cause
• Harassing, threatening, or abusing our staff or other users
• Uploading viruses, malware, or malicious code
• Attempting to manipulate prices or engage in market manipulation

2.5 Third-Party Services

Our platform integrates with third-party services including:

• Safaricom M-PESA: For payment processing
• Domain Registrars: For domain transfers and management
• Email Services: For communication and notifications

We are not responsible for the availability, accuracy, or content of these third-party services. Your use of such services is subject to their respective terms and conditions.

2.6 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAWDIGER VENTURES LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Business interruption or loss of goodwill
• Damages arising from your use or inability to use our services

Our total liability to you for any claim arising from your use of our services shall not exceed the amount you paid us in the past 12 months.

2.8 Indemnification

You agree to indemnify, defend, and hold harmless Rawdiger Ventures LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms of Service
• Your violation of any rights of another party
• Your use or misuse of our services
• Your breach of any representation or warranty contained herein

4. PURCHASE TERMS & CONDITIONS

4.1 Domain Purchases

When you purchase a domain from Rawdiger™:

• You are purchasing the domain registration rights, not ownership of the Rawdiger™ platform
• Prices are listed in USD and converted to KES for M-PESA payment
• All prices are final and include applicable taxes
• Domains are sold "as is" with no guarantees of traffic, revenue, or SEO value

4.2 Payment Processing

We accept payments via Safaricom M-PESA:

4.2.1 M-PESA Payment Process

1. Select your desired domain or product
2. Choose your preferred domain action (nameservers or transfer)
3. Enter your M-PESA phone number (254XXXXXXXXX format)
4. Provide nameserver details or registrar email as applicable
5. Confirm payment via M-PESA STK Push on your phone
6. Enter your M-PESA PIN to complete the transaction
7. Receive confirmation via email within 24 hours

4.3 Domain Transfer Process

After successful payment, if you selected "Domain Transfer":

• Authorization code (EPP code) will be sent to your registered email within 24 hours
• You will receive transfer instructions for your chosen registrar
• Transfer process may take 5-7 business days depending on registrar
• You are responsible for completing the transfer at your registrar

4.4 Nameserver Configuration

If you selected "Submit Nameservers":

• We will configure your provided nameservers within 24 hours
• DNS propagation may take 24-48 hours globally
• You are responsible for ensuring your nameservers are correctly configured at your host
• We will send confirmation once nameservers are updated

4.5 Delivery Timeline

4.6 Ownership Transfer

Upon successful payment and completion of transfer/configuration:

• Domain ownership transfers to you
• You assume full responsibility for domain renewal fees at your registrar
• We are not responsible for future domain management, renewal, or hosting
• You must maintain active domain registration to retain ownership

5. REFUND & CANCELLATION POLICY

5.1 General Refund Policy

Due to the nature of digital products and domain sales:

We may issue a refund only in the following exceptional circumstances:

• Technical Error: If we are unable to deliver the domain or service due to our technical failure
• Duplicate Payment: If you were charged multiple times for the same purchase
• Fraudulent Transaction: If your payment was made without your authorization (subject to investigation)
• Service Failure: If we fail to deliver the service within 7 business days

5.3 Refund Request Process

To request a refund under exceptional circumstances:

1. Email refunds@rawdiger.co.ke within 7 days of purchase
2. Include your transaction ID, M-PESA confirmation, and detailed reason
3. Provide supporting documentation (screenshots, error messages, etc.)
4. Allow 5-7 business days for review and response

5.4 Refund Processing

If your refund is approved:

• Refunds will be processed via M-PESA to your original payment number
• Processing time: 5-10 business days
• You will receive email confirmation once refund is initiated
• Refund amount will be in KES at the original transaction rate

5.5 Chargebacks

If you have a dispute regarding a purchase:

2. Provide all relevant details and documentation
3. We will investigate and respond within 7 business days
4. If unresolved, the matter will be subject to arbitration in Nairobi, Kenya

6. GOVERNING LAW & DISPUTE RESOLUTION

6.1 Governing Law

This Agreement and your use of Rawdiger™ shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to conflict of law principles.

6.2 Jurisdiction

You agree that any legal action or proceeding arising out of or relating to this Agreement shall be instituted in the courts of Nairobi, Kenya, and you consent to the exclusive jurisdiction of such courts.

6.3 Arbitration

For disputes involving amounts under KES 500,000:

• Disputes will be resolved through binding arbitration in Nairobi, Kenya
• Arbitration will be conducted by a mutually agreed-upon arbitrator
• Each party will bear their own costs
• The arbitrator's decision is final and binding

6.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

6.5 Limitation Period

Any claim arising from your use of Rawdiger™ must be filed within one (1) year after the claim arose; otherwise, such claim is permanently barred.

7. MODIFICATIONS TO AGREEMENT

7.1 Right to Modify

Rawdiger Ventures LLC reserves the right to modify, update, or replace any part of this Agreement at any time. We will:

• Post updated terms on this page with a new "Last Updated" date
• Notify users via email for material changes (if we have your email)
• Provide at least 30 days' notice for significant changes affecting user rights

7.2 Acceptance of Changes

Your continued use of Rawdiger™ after any changes to this Agreement constitutes acceptance of those changes. If you do not agree to the new terms, you must stop using our services.

7.3 Version History

We maintain a version history of this Agreement. You may request previous versions by contacting legal@rawdiger.co.ke.

8. MISCELLANEOUS PROVISIONS

8.1 Entire Agreement

This Agreement constitutes the entire agreement between you and Rawdiger Ventures LLC regarding the use of our services and supersedes all prior agreements and understandings.

8.2 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

8.3 Waiver

Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights or provisions.

8.4 Assignment

You may not assign or transfer this Agreement or any of your rights or obligations under it without our prior written consent. We may assign this Agreement without restriction.

8.5 Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, wars, or acts of terrorism
• Government actions or regulations
• Internet service provider failures
• Power outages or telecommunications failures

8.6 Survival

The following provisions will survive termination of this Agreement:

• Ownership and Intellectual Property
• Limitation of Liability
• Indemnification
• Governing Law and Dispute Resolution
• Privacy Policy (for data retention)

8.7 Language

This Agreement is written in English. Any translations are provided for convenience only. In the event of any conflict, the English version shall prevail.
